OT Bylaw Amendment
Bylaw Amendment Summary: In order to better represent our Owners, welcome fresh ideas and diverse perspectives, the Board reviewed our Governance Documents to determine the required number of Board Members. Our 1998 Bylaws were never updated to reflect the Board expanding beyond the initial 3 members. This proposed amendment updates the Bylaws to allow flexibility in the number of Board members while remaining fully compliant with all governing documents and legal filing requirements with Bexar County.
The current language is:
Article 2.1 – Number and Term of Office
The Board shall consist of three directors initially selected by Declarant to serve for a term of one year and continue in such capacity (unless removed by Declarant) until the First Meeting. At the first meeting the directors shall be elected to serve staggered terms for a duration of one (1) year, two (2) years and three (3) years respectively. A director takes office upon the adjournment of the meeting or balloting at which he is elected or appointed and, absent death, ineligibility, resignation, or removal, will hold office until his successor is elected or appointed. The number of directors may be change by amendment of these bylaws, but shall not be less than three.
Would be replaced with:
Article 2.1 – Number and Term of Office (Amended):
The Board shall consist of a minimum of three (3) Directors. The Board may increase the number of Directors as necessary to meet the demands of the Olmos Tower Condominium Association.

2-Year Term, Starting February 20, 2026
Because the Owners approved the Amendment to the Bylaws (listed above) at the Annual Meeting on Thursday, February 19, 2026, the Board membership is increased from five to six members. This adjustment aligns with the provisions set forth in the OT HOA Declarations and Bylaws. By expanding the Board, we welcome fresh ideas, diverse perspectives, and enhance the representation of our Owners.
